CONFLICT OF INTEREST POLICY

1. All Officers, Board of Directors Members, and Staff Members of the Indian Wells Valley Concert Association (IWVCA), a Tax-Exempt Organization under IRS Code Section 501 (c) (3), are 100% Volunteers and receive no compensation, monetary or otherwise, for serving in their various capacities. The IWVCA has no employees, paid or otherwise compensated.

2. The IWVCA has no related organizations, and no other organizations either control or are controlled by the IWVCA, as defined in the IWVCA Form “Reasonable Efforts” – Annual Disclosure.

3. Annually, at the Board of Directors Business Meeting immediately following the Annual Members Meeting, each Officer, Board of Directors Member, and Staff Member will be required to complete, sign and date a copy of the attached form entitled Indian Wells Valley Concert Association “Reasonable Efforts” – Annual Disclosure. If any response indicates any relationship, either personal or business, or any compensation or other payments between any of the Officers, Board of Directors Members, or Staff Members, that meets the definitions on the form, and pose a conflict of interest to the detriment of the business and operations of the IWVCA in their performance of their duties to the IWVCA and duties to any such persons, family members, businesses, or compensated professional relationship such conflicts shall be considered grounds for removal of the Officer, Board of Directors Member, or Staff Member from their position and from the Board of Directors. If such relationships exist but pose no conflict of interest in the business and operations of the IWVCA in the unanimous opinion of the Board of Directors, the completed form shall be accepted as submitted and no further action shall be required regarding that submission, and the submitting Officer, Board of Directors Member, or Staff Member shall retain their position as Officer, Board of Directors Member, or Staff Member.

4. Annually, at the Board of Directors Business Meeting immediately following the Annual Members Meeting, each Officer, Board of Directors Member, and Staff Member will also be required to complete, sign and date a copy of the attached form entitled Indian Wells Valley Concert Association Conflict of Interest Policy – Annual Disclosure. If any response indicates any of the Officers, Board of Directors Members, or Staff Members, hold a position(s) with any other organization or disclose any potential conflict of interest transactions, including substantial gifts or favors (gifts or favors having a monetary value of more than $25.00 constitute “substantial” gifts or favors) that could potentially cause a conflict of interest with their position and responsibilities with the IWVCA, a Tax-Exempt Organization, such conflicts shall be considered grounds for removal of the Officer, Board of Directors Member, or Staff Members from their position and from the Board of Directors. If such relationships exist but pose no conflict of interest in the business and operations of the IWVCA in the unanimous opinion of the Board of Directors, the completed form shall be accepted as submitted, no further action shall be required regarding that submission, and the submitting Officer, Board of Directors Member, or Staff Member shall retain their position as Officer, Board of Directors Member, or Staff Member.

5. This Conflict of Interest Policy may be amended at any time by written change submitted to the Board of Directors and approved by a simple majority of that Board.

6. This Conflict of Interest Policy was presented to the IWVCA Board of Directors on 24 May 2010, and was approved by the 7 Board Members present.
